Executive Legal Summary • Colorado Civil Procedure

Under C.R.C.P. Rule 4(e)(4) and C.R.S. § 7-90-704, a Colorado or foreign LLC, corporation, or partnership is served primarily by delivering process to its registered agent on file with the Colorado Secretary of State, or to an officer, manager, general partner, or functionally equivalent person. If the registered agent cannot be located with reasonable diligence, C.R.S. § 7-90-704(2) permits statutory service by registered or certified mail to the entity's principal office.

1. Who Can Accept Service for a Business Entity Under C.R.C.P. Rule 4(e)(4)

Serving a business entity in Colorado is governed by two complementary authorities: C.R.C.P. Rule 4(e)(4) and the Colorado Corporations and Associations Act (C.R.S. § 7-90-704). Under Rule 4(e)(4), personal service upon any form of corporation, partnership, limited liability company (LLC), association, or other business entity is accomplished by delivering a copy of the summons and complaint to the registered agent for service as set forth in the most recently filed document in the records of the Colorado Secretary of State.

Importantly, you are not limited solely to the registered agent. Rule 4(e)(4) also authorizes personal delivery to: (A) an officer of any form of corporation; (B) the general partner of any form of partnership; (C) a manager of a manager-managed LLC or a member of a member-managed LLC; (D) a trustee of a trust; or (E) the functional equivalent of any such corporate officer, partner, manager, or member, wherever they may be found in the state. Furthermore, if no such officer, manager, or registered agent can be found in Colorado, Rule 4(e)(4)(G) permits serving any regular employee, stockholder, or member coupled with mailing a copy to the entity's office.

2. Serving Major Commercial Registered Agents in the Denver Metro Area

Over 65% of commercial lawsuits, garnishments, and third-party record subpoenas in Colorado are directed to one of five major commercial registered agent hubs located in the Denver metropolitan area. Our couriers make daily runs to all of these intake desks:

• C T Corporation System (CT Corp) / The Corporation Company: Located at 7700 East Arapahoe Road, Suite 220, Centennial, CO 80112 (Arapahoe County, South Denver Tech Center corridor). CT Corp verifies exact entity punctuation against the Colorado Secretary of State database before stamping intake receipts.

• Corporation Service Company (CSC): Located at 1900 West Littleton Boulevard, Littleton, CO 80120 (Arapahoe County). Primary statutory agent for thousands of national financial institutions, retail chains, and insurers.

• Northwest Registered Agent, LLC: Located at 1500 North Grant Street, Suite N, Denver, CO 80203 (Capitol Hill, Denver County). Note that Northwest Registered Agent, LLC is a distinct legal company from Registered Agents Inc.

• Registered Agents Inc. (RAI): Operates intake offices at 1500 North Grant Street, Suite R, Denver, CO 80203 and 1942 Broadway Street, Suite 314C, Boulder, CO 80302. Always check the target LLC's exact Colorado Secretary of State Summary page to confirm whether Northwest (Suite N) or Registered Agents Inc. (Suite R / Boulder) is the designated agent.

• Cogency Global Inc.: Located at 600 17th Street, Suite 1450S, Denver, CO 80202 in Downtown Denver.

3. What Happens When an LLC's Registered Agent Is Delinquent or Vacant (C.R.S. § 7-90-704(2))

Unlike states where you physically serve the Secretary of State's office when a domestic LLC fails to maintain a registered agent, Colorado abolished routine Secretary of State drop-off service for domestic entities years ago in favor of direct statutory mail service under C.R.S. § 7-90-704(2).

Specifically, under C.R.S. § 7-90-704(2), if a Colorado or foreign reporting entity has no registered agent, or if the registered agent is not located under its registered agent name at its registered agent address, or if the registered agent cannot with reasonable diligence be served, the entity may be served by registered mail or by certified mail, return receipt requested, addressed to the entity at its principal address!

Under C.R.S. § 7-90-704(2)(b), service is perfected under this statute at the earliest of: (I) the date the entity receives the process; (II) the date shown on the return receipt, if signed on behalf of the entity; or (III) five days after its deposit in the United States mail, as evidenced by the postmark, if mailed postpaid and correctly addressed. However, to rely on C.R.S. § 7-90-704(2) without risking a motion to vacate default judgment, you must first possess an Affidavit of Due Diligence from a process server proving that physical service was attempted at the registered agent address on file with the Secretary of State and that the agent could not be found.

4. Serving Insurance Companies Through the Colorado Division of Insurance

For foreign or out-of-state insurance companies licensed in Colorado, C.R.S. § 10-3-107 designates the Commissioner of Insurance as the statutory attorney for service of process if the insurer does not maintain a commercial registered agent. Hand-delivery intake for the Colorado Division of Insurance (DORA) is located at 1560 Broadway, Suite 110 (Welcome Center) / Suite 1300, Denver, CO 80202.

5. Step-by-Step Checklist Before Serving a Business Entity in Colorado

Before dispatching a corporate serve in Colorado, our intake team verifies the entity's live standing on the Colorado Secretary of State Business Database (`coloradosos.gov`): (1) Confirm the exact legal name and Entity ID number; (2) Check whether the entity's status is 'Good Standing', 'Noncompliant', 'Delinquent', or 'Voluntarily Dissolved'; (3) Verify the exact registered agent name and street address (carefully distinguishing Northwest Registered Agent at 1500 N. Grant St, Suite N from Registered Agents Inc. at Suite R or 1942 Broadway in Boulder); and (4) If the registered agent address is vacant or an unstaffed CMRA mailbox, instruct our server to execute a formal Affidavit of Due Diligence so you can perfect statutory certified mail service on the principal office under C.R.S. § 7-90-704(2).

Frequently Asked Questions

Are Northwest Registered Agent and Registered Agents Inc. the same company in Colorado?

No. They are separate companies with different suites (Suite N vs. Suite R at 1500 N. Grant St. in Denver, plus RAI's Boulder office at 1942 Broadway). Always verify the exact entity name on the CO Secretary of State website.

Does the Colorado Secretary of State accept walk-in service for delinquent LLCs?

No. Under C.R.S. § 7-90-704(2), once a process server documents that the registered agent cannot be served at the registered address with reasonable diligence, the entity may be served by certified mail to its principal office.

How fast can you serve CT Corp in Centennial or CSC in Littleton?

We make daily runs to both Centennial (7700 E. Arapahoe Rd) and Littleton (1900 W. Littleton Blvd), with Same-Day service completed within hours of order placement.
